Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Mixt and related websites, products, and services (collectively, the "Service"). Mixt is operated by Gozlan Ventures LLC, a Wyoming limited liability company ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Mixt helps you share and work with playlists across music services such as Spotify, Apple Music, and others. Features may change over time. We do not guarantee uninterrupted or error-free operation. Third-party music platforms are not affiliated with us and may impose their own terms when you connect your accounts or use their APIs.

3. Eligibility and accounts

You must be able to form a binding contract where you live. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for safeguarding your account credentials and for activity under your account. Notify us promptly at jonah@gozlanventures.com if you suspect unauthorized access.

4. Acceptable use

You agree not to:

  • Violate applicable law or infringe others' intellectual property, privacy, or other rights
  • Attempt to probe, scan, or test the vulnerability of the Service, or breach authentication or security measures
  • Use the Service to distribute malware, spam, or deceptive or harmful content
  • Reverse engineer, decompile, or disassemble the Service except where prohibited by law
  • Use the Service in any manner that could disable, overburden, or impair our systems or interfere with others' use

5. Your content

You retain ownership of content you submit. You grant us a worldwide, non-exclusive license to host, store, reproduce, and display your content solely as needed to provide and improve the Service. You represent that you have the rights necessary to grant this license.

6. Our intellectual property

The Service, including its software, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7. Third-party services

The Service may integrate with or link to third-party services (including music streaming providers). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services or content.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW.

10. Indemnity

You will defend, indemnify, and hold harmless Gozlan Ventures LLC and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and governing law.

12. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. You agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.

13. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree, stop using the Service.
